TERMS OF SERVICE + CUSTOM ORDER TERMS

These Terms of Service + Custom Order Terms (“Terms”) govern your access to our website, your use of our store, and your purchase of products from Litania.

By using our website, placing an order, submitting a Photo Submission, approving a proof where applicable, or otherwise purchasing from us, you agree to these Terms and to any policies incorporated by reference, including our Privacy Policy, Shipping Policy, Return, Refund, and Remake Policy, and any order-specific written terms presented to you.

If you do not agree to these Terms, do not use our website or place an order.

  1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to place an order.

Our products are intended for personal consumer purchase and adult jewelry use. They are not intended for children, resale, medical use, safety use, identity verification, biometric identification, or use as protective equipment.

If you purchase a product as a gift or submit a photo of another person, you are responsible for confirming that you have the legal right or appropriate permission to do so.

  1. Definitions

“Custom Order” means any item made specifically for you using your submitted photo, image, text, instruction, or other personalized input.

“Photo Submission” means any photograph, image, file, likeness, design reference, text, note, instruction, or related content you upload, email, transmit, or otherwise provide to us in connection with a Custom Order.

“Production Start” means the time we send notice that your Photo Submission has been accepted and production is beginning or scheduled to begin within 24 hours, or another production-start point expressly stated by us in writing for that order.

“Proof” means any mockup, render, design preview, digital preview, edited image, production reference, or other pre-production review material we may choose to provide for a particular order.

“Material Mismatch” means a substantial and outcome-relevant difference between the accepted production basis for your order and the item delivered, excluding minor variation inherent in handmade, cast, polished, engraved, finished, photographed, or personalized goods.

“Delivery Confirmation” means carrier tracking, delivery scan, proof of delivery, or similar delivery status showing delivery to the shipping address provided in your order, subject to applicable law.

  1. Products and Custom Nature of Goods

Many of our products are Custom Orders made specifically from customer-submitted content and may involve digital review, image preparation, editing, relief conversion, design interpretation, casting, polishing, finishing, chain assembly, packaging, and fulfillment.

Product photos, renders, mockups, examples, videos, and samples on our website or social media are illustrative. Because each piece is individually produced, minor variation in detail, scale, finish, polish, tone, texture, chain, packaging, surface characteristics, and artistic interpretation may occur and does not by itself constitute a defect, nonconformity, or Material Mismatch.

Custom portrait jewelry is not a photographic reproduction. It is a physical artistic and manufacturing interpretation of the accepted Photo Submission.

  1. Jewelry Materials, Descriptions, and Care

We aim to describe our products, materials, finishes, sizes, and specifications accurately. Any material claim, including sterling silver or 925 sterling silver, applies only to the component or product specifically described that way.

Unless expressly stated, product descriptions do not mean that every component, chain, clasp, jump ring, accessory, packaging item, or optional add-on is made from the same material.

Precious metal products may naturally tarnish, oxidize, patina, scratch, soften, bend, dull, or show wear over time depending on storage, skin chemistry, environment, exposure, and use. These changes are normal characteristics of jewelry and do not by themselves establish a defect.

Measurements, weights, chain lengths, and dimensions are approximate unless expressly stated as exact.

  1. Prices, Payment, Taxes, Duties, and Order Acceptance

Prices are shown in the currency displayed at checkout. Payment is due at the time your order is placed unless we clearly state otherwise.

Shipping charges, taxes, duties, customs charges, import fees, brokerage fees, and similar amounts may be added at checkout or may be charged separately by carriers, governments, or service providers. You are responsible for taxes, duties, customs charges, import fees, and similar amounts unless we expressly state otherwise.

Your order is an offer to purchase and remains subject to our acceptance. We may decline, suspend, or cancel an order before Production Start for reasons including suspected fraud, suspected infringement, inability to fulfill, prohibited content, technical error, pricing error, inventory or supply issue, payment issue, shipping restriction, unlawful conduct, violation of these Terms, or failure to receive a suitable Photo Submission.

We may correct pricing, typographical, product, inventory, or technical errors at any time, including after an order is submitted. If an error affects your order before Production Start, we may cancel the order and issue a refund or ask whether you want to proceed on corrected terms.

  1. Preorders, Early Access, and Limited Releases

If a product is offered for preorder, early access, waitlist release, limited release, made-to-order release, or delayed shipment, the stated production and shipping windows are estimates unless we expressly state in writing that a date is guaranteed.

We will make reasonable efforts to provide accurate timing information and to update you if a material delay affects your order.

If applicable law requires your consent to a delayed shipment or requires a refund because we cannot ship within a promised or legally required timeframe, we will provide the notice, choice, refund, or other remedy required by applicable law.

Preorder availability, launch quantities, delivery timing, and production capacity may change due to demand, supplier issues, manufacturing constraints, carrier delays, quality-control review, customs issues, force majeure events, or other operational factors.

  1. Photo Submission Requirements

You are responsible for providing a clear, suitable, and usable Photo Submission in the file format, quality, crop, resolution, lighting, and subject positioning we request.

We may reject or request replacement of a Photo Submission that is blurry, incomplete, low-resolution, poorly lit, obstructed, distorted, technically unusable, unlawful, infringing, inappropriate, inconsistent with our brand standards, or otherwise unsuitable for production.

Any delay caused by an incomplete, unsuitable, delayed, or nonresponsive Photo Submission may delay review, acceptance, Production Start, production, and shipping.

Submitting a Photo Submission does not guarantee that we can produce a satisfactory Custom Order from it.

  1. Your Rights in Submitted Content

You represent and warrant that you own the Photo Submission or have all rights, permissions, consents, licenses, and authority necessary to provide it to us and authorize our use of it for your Custom Order.

You further represent and warrant that your Photo Submission, and our use of it as permitted by these Terms, will not infringe, misappropriate, or violate any copyright, trademark, privacy, publicity, moral, biometric, personal image, contractual, property, or other right of any person or entity, and will not violate any law.

If the Photo Submission depicts another person, including a child, deceased person, public figure, celebrity, artist, model, creator, or private individual, you represent and warrant that you have the legal right or appropriate permission to submit that image for the Custom Order.

We are not responsible for determining whether you have the right to submit a Photo Submission. We may request additional confirmation or documentation, but we are not obligated to do so.

  1. Limited License to Litania

You grant Litania a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, store, modify as reasonably needed for production, prepare derivative production files from, and otherwise process your Photo Submission solely to review, design, model, manufacture, fulfill, support, repair, remake, document, defend, and administer your Custom Order, and to maintain related support, fraud-prevention, legal, tax, accounting, chargeback, and dispute records during the retention periods described in our Privacy Policy.

Except for this limited license, we do not claim ownership of the underlying Photo Submission.

We do not use customer-submitted photos for public marketing, advertising, social media, testimonials, or promotional content unless you separately and clearly consent.

  1. Proofs, Customer Review, and Approval

We may, but are not required to, provide a Proof, mockup, render, or other preview before production.

If we provide a Proof or request approval, you are responsible for reviewing it carefully, including crop, orientation, spelling, personalization, design direction, and any visible details.

If you approve a Proof, we may rely on that approval for production. After approval, changes may not be possible and cancellation may not be available.

If we request proof approval or additional information and you do not respond within the timeframe stated in our message, or within 7 days if no timeframe is stated, we may place the order on hold, proceed using the latest available production basis, extend the production timeline, or cancel the order and provide a refund, store credit, or other resolution as permitted by law and our policies.

A Proof, mockup, render, or screen image is only an approximation. The final physical item may differ because of scale, casting, polishing, finishing, lighting, screen settings, material behavior, and handmade variation.

  1. Prohibited Submissions and Refusal Rights

You may not submit content that is unlawful, infringing, threatening, abusive, harassing, hateful, obscene, sexually explicit, exploitative, defamatory, invasive of privacy, deceptive, fraudulent, unsafe, malicious, or otherwise inconsistent with our policies or brand standards.

You may not submit content that exploits or sexualizes minors, violates another person’s rights, impersonates another person, includes unauthorized celebrity or public-figure likenesses, or contains protected intellectual property you are not authorized to use.

We may refuse, suspend, or cancel any Photo Submission or order that we reasonably believe violates these Terms, applicable law, third-party rights, platform rules, payment-provider rules, or our brand standards.

If we refuse a Photo Submission before Production Start, we may request a replacement image, place the order on hold, cancel the order, or issue a refund where appropriate.

  1. Artistic and Manufacturing Interpretation

Your finished piece is a physical artistic and manufacturing interpretation of the accepted Photo Submission. Final appearance may vary based on image quality, crop, lighting, contrast, subject angle, visible detail, relief conversion, design interpretation, scale, casting, finishing, polishing, and material behavior.

Minor differences between the source image, any on-screen reference, any Proof, and the finished piece are expected and do not by themselves establish a defect, nonconformity, or Material Mismatch.

We do not guarantee exact facial recognition, exact likeness, exact emotional expression, exact photographic accuracy, exact engraving depth, exact relief detail, exact surface finish, exact color appearance, exact scale perception, or exact match to a digital mockup.

  1. Photo Acceptance and Production Start

After we receive your order and Photo Submission, we may review the Photo Submission for suitability.

If accepted, we will send notice that your Photo Submission has been accepted and that production is beginning or scheduled to begin within 24 hours. That notice is the point of Production Start unless we expressly state otherwise in writing for that order.

If we offer an order-specific Proof or approval step for a particular order, that order-specific written flow will govern that step, but Production Start still begins only when we send the acceptance/production notice unless we expressly state otherwise in writing.

  1. Cancellation

You may request cancellation only before Production Start.

After Production Start, Custom Orders are non-cancellable because design, labor, materials, production capacity, and manufacturing resources have been committed.

If you do not provide a suitable Photo Submission, required approval, requested information, or necessary response within 30 days after purchase, we may administratively cancel the order and issue a refund, store credit, or other resolution in our discretion, less any non-recoverable third-party costs if clearly disclosed in advance and permitted by law.

Nothing in this section limits any cancellation, refund, or delay-shipment rights that cannot be waived under applicable law.

  1. Production and Shipping Estimates

Any production or shipping timeframes we provide are estimates unless we expressly state in writing that a date is guaranteed.

Production begins only after Production Start. Transit times are carrier estimates and may vary.

You are responsible for providing a complete and accurate shipping address.

If a material delay occurs before shipment, we may contact you with an updated estimate and available options consistent with applicable law.

We are not responsible for delays caused by customer nonresponse, unsuitable Photo Submissions, payment issues, address issues, carrier delays, customs processing, weather, supply constraints, manufacturing issues, quality-control review, force majeure events, or other events outside our reasonable control, except where applicable law requires otherwise.

  1. Delivery, Risk of Loss, and Returned Shipments

Risk of loss passes upon delivery to the address you provided, subject to applicable law.

Delivery Confirmation may be established by carrier tracking, delivery scan, proof of delivery, or similar proof.

If a package is returned to us because of an incorrect address, refusal, failure to claim, inability to deliver, customs issue, or similar issue not caused by us, you may be responsible for reshipment charges, return charges, address-correction fees, customs charges, or other reasonable costs.

If a package is marked delivered but you cannot locate it, contact us promptly. We may ask you to check with the carrier, household members, building staff, neighbors, mailroom, or local delivery location. Any replacement, remake, refund, or claim support will be handled according to our policies and applicable law.

  1. No General Returns or Exchanges for Custom Goods

Because each Custom Order is made specifically for you, we do not accept general returns or exchanges after Production Start except as described in our Return, Refund, and Remake Policy or where required by law.

Non-custom, ready-to-ship, or standard products, if offered, may be subject to separate return rules stated on the product page, at checkout, or in our Return, Refund, and Remake Policy.

  1. Remake Requests and Limited Remedies

If your order arrives damaged, contains a manufacturing defect, is the wrong item, or you believe it reflects a Material Mismatch, you must contact us at support@litania.studio within 14 days after Delivery Confirmation and include your order number, a description of the issue, and clear photos showing the claimed problem.

Where appropriate, our primary remedies are repair, remake, replacement, store credit, or another reasonable correction. Refund may be offered at our discretion or where required by law.

We may deny a claim if the issue arises from ordinary handmade variation, expected artistic interpretation, normal jewelry characteristics, a low-quality or unsuitable source image, customer-approved proof, normal wear and tear, tarnish, oxidation, patina, scratches, misuse, accidental damage after delivery, improper care, exposure to chemicals or water, unauthorized repair or modification, customer-provided errors, or information you failed to provide before Production Start.

We may request that you return the item before we provide a repair, remake, replacement, refund, or other remedy. If we request a return for a verified defect or verified wrong item, we will provide return instructions consistent with applicable law and our policy.

  1. Product Care and Intended Use

Our products are intended as adult jewelry for ordinary personal wear.

Remove jewelry before swimming, bathing, sleeping, sports, exercise, operating machinery, childcare activities where tugging may occur, or activities where loose jewelry may pose a hazard. Avoid exposure to chemicals, lotions, perfumes, abrasives, water, saltwater, chlorine, sweat, impact, crushing, pulling, and rough handling.

Keep jewelry, chains, clasps, packaging, and small components away from babies, children, and pets. Jewelry may present choking, strangulation, puncture, ingestion, allergy, irritation, or injury risks if misused.

Discontinue use if irritation, allergic reaction, discomfort, skin discoloration, or damage occurs.

Product care instructions are provided for general guidance. Failure to follow care instructions may affect eligibility for repair, remake, replacement, refund, or other remedy.

  1. Product Availability and Changes

We may modify, discontinue, limit, or update products, materials, chains, packaging, finishes, product pages, prices, promotions, or availability at any time.

We may substitute materially similar components, packaging, or supplies when necessary due to availability, quality-control, manufacturing, or supply-chain reasons, provided the substitution does not materially reduce the product you purchased, unless you agree otherwise or applicable law requires a different remedy.

  1. Promotions, Discounts, Credits, and Gift Cards

Promotions, discounts, early-access offers, referral rewards, store credits, and gift cards may be subject to additional terms, eligibility limits, expiration rules, exclusions, or restrictions disclosed with the offer.

Unless expressly stated, promotions cannot be combined, applied retroactively, redeemed for cash, or used for taxes, duties, shipping, or prior purchases.

We may modify or cancel promotions where permitted by law, including in cases of fraud, abuse, technical error, or misuse.

  1. Reviews, Testimonials, Influencers, and User-Generated Content

If you submit a review, testimonial, comment, tag, mention, post, video, or other user-generated content about Litania, you are responsible for ensuring it is truthful and based on your honest experience.

We may ask customers for permission to use reviews, testimonials, photos, videos, posts, or other content. We do not use customer-submitted custom-order photos for public marketing, advertising, social media, testimonials, or promotional content unless you separately and clearly consent.

If we provide free products, discounts, payment, commissions, affiliate links, gifts, or other benefits to influencers, creators, affiliates, ambassadors, reviewers, or partners, they are expected to clearly disclose that relationship where required by law and platform rules.

We do not prohibit honest reviews, including negative reviews. We may, however, remove or decline to display content that is false, misleading, unlawful, infringing, harassing, abusive, obscene, discriminatory, contains private information, violates platform rules, or is unrelated to the product or customer experience.

  1. Website Use and Intellectual Property

You may not misuse the website, interfere with its operation, scrape or harvest data without permission, attempt unauthorized access, upload malicious code, bypass security measures, misuse forms, interfere with checkout, use automated systems abusively, or use the website in violation of law or third-party rights.

All site content, including text, branding, names, logos, designs, product images, graphics, videos, page layout, product descriptions, and other materials, is owned by Litania or its licensors and may not be copied, reproduced, distributed, modified, sold, or used without permission except as allowed by law.

You may not use our name, brand, product images, product designs, or content in a way that suggests sponsorship, endorsement, affiliation, resale authorization, or partnership without our written permission.

  1. Privacy

Our collection, use, storage, and sharing of personal information is described in our Privacy Policy.

By using our website, placing an order, or submitting a Photo Submission, you acknowledge that personal information may be processed as described in our Privacy Policy.

  1. Third-Party Services and Platforms

Our website, checkout, payment processing, shipping, analytics, advertising, email, SMS, social media, product discovery, and sales-channel features may be operated or supported by third-party services such as Shopify, payment processors, shipping carriers, Meta, Google, TikTok, Pinterest, Snap, Klaviyo, affiliate platforms, review platforms, and similar providers.

Third-party services may have their own terms, privacy policies, rules, fees, limitations, and practices. We are not responsible for third-party platforms except where applicable law provides otherwise.

If you interact with us through a third-party platform, including social media, marketplace, shop, ad platform, or payment provider, your use of that platform may also be governed by that platform’s own terms and policies.

  1. Disclaimer of Warranties

Except as expressly stated in these Terms, our Return, Refund, and Remake Policy, or where prohibited by law, our website, products, and services are provided “as is” and “as available.”

To the maximum extent permitted by law, we disclaim all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, and non-infringement.

Some jurisdictions do not allow limitations on implied warranties, so some limitations may not apply to you.

Nothing in these Terms limits any non-waivable rights you may have under applicable consumer protection law.

  1. Limitation of Liability

To the maximum extent permitted by law, Litania will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, or for lost profits, lost opportunity, emotional distress, reputational harm, data loss, or loss of goodwill arising out of or relating to any order, product, website use, Photo Submission, delay, delivery issue, or interaction with us.

To the maximum extent permitted by law, Litania’s total liability for any claim relating to a specific order will not exceed the amount you paid to Litania for that order.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

  1. Indemnity

You agree to indemnify, defend, and hold harmless Litania and its managers, members, employees, contractors, service providers, affiliates, successors, and assigns from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your Photo Submission, your breach of these Terms, your misuse of the website, your violation of law, your violation of third-party rights, or your fraud, misrepresentation, or misconduct.

We reserve the right to control the defense of any matter subject to indemnification, and you agree to cooperate with us in that defense.

This indemnity applies to the maximum extent permitted by law.

  1. Contact Before Payment Dispute

If you have a concern about your order, you agree to contact us first at support@litania.studio and give us a reasonable opportunity to review and, where appropriate, resolve the issue before initiating a chargeback, payment dispute, complaint, or similar claim.

This section does not limit any non-waivable rights you may have under applicable law or payment-network rules.

If you initiate a chargeback or payment dispute, you agree that we may provide the payment processor, card network, bank, fraud-prevention provider, or other relevant party with order records, production records, delivery confirmation, communications, policy terms, Photo Submission status, proof approval, and other information reasonably relevant to the dispute.

  1. Force Majeure

We are not responsible for delay or failure to perform caused by events outside our reasonable control, including acts of God, severe weather, natural disaster, fire, flood, epidemic, pandemic, labor dispute, supply-chain disruption, material shortage, carrier delay, customs delay, governmental action, war, terrorism, civil unrest, power outage, internet failure, platform outage, payment-processor issue, cyberattack, or other event beyond our reasonable control.

We will make reasonable efforts to resume performance when practicable.

  1. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except where consumer law in your jurisdiction requires otherwise.

Any dispute relating to these Terms, our website, or an order will be brought exclusively in the state or federal courts located in Wyoming, unless applicable consumer law gives you the right to bring a claim in another jurisdiction or prohibits this venue requirement.

You and Litania consent to personal jurisdiction and venue in those courts to the extent permitted by law.

  1. Dispute Resolution; No Class Actions Where Permitted

Before filing a formal claim, you agree to contact us at support@litania.studio with a description of the issue and allow us a reasonable opportunity to resolve it informally.

To the maximum extent permitted by law, any dispute must be brought only on an individual basis and not as a plaintiff, claimant, class member, or representative in any class, collective, consolidated, private attorney general, or representative proceeding.

If this class-action waiver is found unenforceable as to a particular claim or request for relief, then it will be severed only to the extent necessary, and the remaining provisions will continue to apply.

Nothing in this section limits rights that cannot be waived under applicable law.

  1. Changes to These Terms

We may update these Terms from time to time for future orders by posting an updated version with a new Effective Date.

The Terms in effect at the time of your order will apply to that order unless law requires otherwise or unless you agree to updated terms.

  1. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect.

Our failure to enforce any provision is not a waiver.

You may not assign your rights or obligations under these Terms without our consent. We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, change of control, or by operation of law.

Headings are for convenience only and do not affect interpretation.

These Terms, together with any order-specific written communication, our Return, Refund, and Remake Policy, our Shipping Policy, our Privacy Policy, product-page disclosures, checkout disclosures, and any additional terms expressly incorporated by reference, form the entire agreement relating to your order except where applicable law requires otherwise.
